Bylaws Of The Cliff Haven Approved by the membership April 6, 2002 Article I - Name and Offices This organization shall be known as the Cliff Haven Homeowners Association, Inc. with offices at Plattsburgh New York. Article 11 - Purpose The Purpose of the organization as set forth in the Certificate of Incorporation (May 1958) is: To provide for the mutual assistance of home and property owners, who own real estate within that certain housing development and subdivision known as "Cliff Haven Estates" at Plattsburgh, Clinton County, New York, and to promote the common welfare of the members of said community; to maintain and foster among its members an interest in community and civic problems and affairs; to function and act as a property owners association for the purpose of developing and protecting any and all rights, interest, interests in land, choices in action or other benefits due now or hereafter may accrue to, or for the benefit of, said property owners as a common interests thereof, including but without limitation to, streets, rights-of-way, common interests in beach or other lake front facilities, common utility lines, covenants running with the land and binding upon each property owner in favor of the remainders in this subdivision. Article III - Membership Membership in the organization shall be open to all persons twenty-one (21) years of age or older desiring membership who are residents of Cliff Haven Estates Development, Plattsburgh, New York. Article IV - Board Of Directors I . The business and affairs of the Association shall be managed by a Board of Directors, which shall consist of nine (9) members, one-third of which shall be elected annually and their terms of office shall be three (3) years. 2. A director may be re-elected to a successive term of office. 3. Failure by a board member to attend a meeting within (3) consecutive meetings, without just cause, shall result in forfeiture of office. The Board of Directors shall appoint an interested candidate to fill the vacant board position. 4. The President shall appoint a Nominating Committee of four members of the Association at a regularly scheduled meeting held at least one (1) month prior to the annual meeting of the members. Two (2) members of this committee shall be selected from the incumbent Board of Directors and (2) members shall be selected from the general membership. The Nominating Committee shall nominate a slate of candidates for directors, which shall be given to the members prior to the annual meeting. 5. The election of directors shall be held at the annual meeting of the association. Voting shall preferably be done by secret ballot; however, with the consent of a majority of those present, voting may be done by open forum and show of hands.. The candidate receiving the greatest number of votes for any office shall be elected to that office. 6. Terms shall begin and end on annual meeting dates, regardless of when elected. If elections occur after the annual meeting date, the terms of those elected shall be shortened to expire on the proper annual meeting date. 7. Directors shall take office as soon as elected. 8. Director positions may be shared with a spouse or "significant other" living in the same household. Shared positions shall have only one vote in Board decisions. 9. Regular meetings of the Board of Directors shall be held immediately following the annual meeting of the membership and every other month thereafter. Special meetings of the Board of Directors shall be held from time to time at the call of the President. 10. A majority of the Board of Directors shall constitute a quorum for all regular meetings or special meetings of the Board. 11. Vacancies on the Board of Directors shall be filled by appointment by the President to serve out any un-expired terms on the Board of Directors. Directors shall be elected at the annual meeting to serve out any unexpired terms on the Board of Directors, in addition to replacing directors whose terms have expired in accordance with section 1, above. Article V - Meetings I . The annual meeting of the Association shall be held on or about the first week of April in each and every year and at a time and place designated by the Board of Directors. 2. Special meetings of the Association may be held as needed. Any member desiring a special meeting shall present written request detailing the need for such meeting to the President or Secretary of the Association. The request shall be reviewed by the officers of the board who shall determine if a special meeting is to be held. 3. Notice of each regular or special meeting shall be given members of the Association at least five (5) days before the meeting. 4. Fifteen (15) members in good standing of the Association shall constitute a quorum for any regular or special meeting. Article VI - Dues I . The dues of members shall be those fixed by the Board of Directors from time to time. Such dues shall be paid to the Treasurer prior to May I" of each year. Dues amount to be published in the Cliff Dweller following the February meeting of the Board of Directors. 2. Members owning boats and utilizing the service of the Cliff Haven Homeowners Association Harbor Committee to maintain their mooring shall, in addition to the dues prescribed in paragraph 1, be required to pay an annual fee, which shall be fixed by the Board of Directors. Mooring fee to be published in the Cliff Dweller following the February meeting of the Board of Directors. Article VII - Officers I . The officers of the Association shall be a President, a Vice President, a Treasurer and a Secretary. 2. The President shall be the chief executive officer of the Association and shall preside at all meetings of the Association and of the Board of Directors. The President shall appoint all special committees and that chairperson of all standing committees and shall be an ex-officio member of all committees. 3. The Vice President shall perform any and or all of the duties of the President in the event of the President's absence or disability. 4. In the event of the absence of both the President and the Vice President from any meeting of the Association, or of the Board of Directors, the members of the Board of Directors there present shall elect a chairperson pro tempore. 5. The Treasurer shall keep and disburse the funds of the Association under and by the direction of the Board of Directors. The Treasure shall keep a complete roll of the names and addresses of the members, an account of the dues owed and paid by them, and shall report such account to the Board of Directors. 6. The Secretary shall keep the minutes of the meetings of the Association and of the Board of Directors. The Secretary shall send out all communications from the Association, the Board of Directors, officers and committees, to other bodies and individuals and shall serve all notices required by law or by these Bylaws. 7. The President and/or Treasurer shall sign all instruments for withdrawal of funds as authorized by the Board of Directors. Any withdrawal or expenditure in excess of $500.00 shall require signature of both President and Treasurer. 8. The officers shall be elected by the Board of Directors from its number at the first Board meeting following the Annual Meeting of members. 9. The officers shall be elected for a term of (1) year and shall take office as soon as elected. Article VIII - Standing Committees 1. After the first meeting of each year, the President shall appoint the chairpersons of the Standing Committees. 2. The following shall be the Standing Committees of the Association:
Article IX - Amendment Of Bylaws 1. Amendment of the Bylaws shall be by at least two-thirds (2/3) majority vote of a regular or a special meeting of the Association at which a quorum is present. 2. Such amendment or amendments shall first be submitted to the members of the Association at least two (2) weeks in advance of the vote. We hereby certify that these Bylaws pertaining to the operation of the Cliff Haven Homeowners Association, Inc., are the existing Bylaws as amended by the membership at the General Meeting held April 06, 2002.
